R J Enterprises is a sole proprietorship firm engaged in wholesale trading of electrical and products, including but not limited to Power Capacitors, Circuit Breakers, TDK Products, Alcon Products, Electrical Switches, C&S Products, and other related items (“Products”).
1. Business Scope and Applicability
1.1. R J Enterprises operates as a wholesale trading firm, primarily catering to businesses, contractors, dealers, and other commercial buyers.
1.2. These Terms apply to all transactions, including purchases, deliveries, inquiries, and communications made through our office, sales representatives, and/or website.
1.3. Any special conditions mutually agreed upon in writing shall prevail over these Terms to the extent of inconsistency.
2. Orders and Acceptance
2.1. Orders may be placed through written purchase orders, email, phone, or in person with our representatives.
2.2. All orders are subject to confirmation by R J Enterprises. We reserve the right to reject any order at our discretion without assigning reasons.
2.3. Once an order is accepted, it becomes binding on the Customer. Cancellation requests, if any, must be made in writing and are subject to our approval and applicable charges.
2.4. The Customer must ensure that all details provided (including product specifications, quantity, and delivery instructions) are accurate.
3. Pricing and Payments
3.1. Prices are quoted in Indian Rupees (INR) unless otherwise stated. Prices are exclusive of applicable Goods and Services Tax (GST), freight, insurance, and other charges unless specified.
3.2. Quotations provided are valid for the period mentioned therein. If no period is mentioned, the quotation is valid for 15 days from the date of issue.
3.3. Payments are to be made in accordance with the agreed credit terms. In the absence of such terms, payments must be made 100% in advance or as per proforma invoice.
3.4. Delayed payments may attract interest charges at the rate of 18% per annum or as permitted under applicable law.
3.5. Ownership of goods remains with R J Enterprises until full payment is received.
4. Delivery and Shipping
4.1. Delivery timelines are approximate and subject to factors beyond our control, including transportation delays, manufacturer schedules, and unforeseen circumstances.
4.2. Risk of loss or damage passes to the Customer once the goods are handed over to the carrier or transporter.
4.3. Customers are responsible for unloading, safe handling, and storage at their premises.
4.4. Any discrepancy in delivery (shortage, damage, or wrong item) must be reported within 48 hours of receipt.
5. Product Warranty and Liability
5.1. R J Enterprises does not manufacture the products it trades. Hence, all warranties are limited to those provided by the original equipment manufacturer (OEM).
5.2. Customers are responsible for verifying compatibility, technical suitability, and installation requirements before purchase.
5.3. We shall not be held liable for:
- Improper installation, misuse, or negligence by the Customer
- Unauthorized modifications or repairs
- Indirect, incidental, or consequential damages arising from product use
5.4. Any claim for defective products must be supported by purchase documents, inspection reports, and, where applicable, OEM warranty conditions.
6. Returns, Cancellations, and Refunds
6.1. Returns are accepted only under the following conditions:
- Wrong supply against confirmed order
- Manufacturing defect covered under OEM warranty
6.2. Products must be returned in their original condition, unused, and with intact packaging.
6.3. Customized, special-order, or clearance products are non-returnable and non-refundable.
6.4. Refunds, where applicable, shall be processed within 15 working days after inspection and approval.
6.5. Cancellation requests after order confirmation may attract a cancellation fee up to 20% of the order value.
7. Intellectual Property Rights
7.1. All trade names, logos, designs, brochures, catalogs, and website content used by R J Enterprises are protected under applicable intellectual property laws.
7.2. Customers are prohibited from copying, reproducing, or misusing such content without prior written consent.
7.3. Reference to third-party brands (e.g., TDK, Alcon, C&S) is for identification purposes only and does not imply ownership or partnership unless explicitly stated.
8. Limitation of Liability
8.1. R J Enterprises’ liability, whether arising under contract, tort, or otherwise, shall be limited to the value of the products supplied under the specific transaction.
8.2. We are not liable for business losses, loss of goodwill, production delays, or any consequential damages.
8.3. Nothing in these Terms excludes liability for fraud, willful misconduct, or any liability which cannot be excluded under applicable law.
9. Indemnification
9.1. The Customer agrees to indemnify and hold harmless R J Enterprises, its proprietor, employees, and representatives against any claims, damages, or expenses arising out of:
- Misuse of products
- Breach of these Terms
- Violations of applicable laws or third-party rights
10. Force Majeure
10.1. R J Enterprises shall not be responsible for non-performance or delays caused by events beyond its reasonable control, including but not limited to natural disasters, labor strikes, supply chain disruptions, government restrictions, or transportation failures.
11. Governing Law and Jurisdiction
11.1. These Terms are governed by and construed in accordance with the laws of India.
